Acceptance of Terms

By accessing and using the Vaxio platform, Frontbell application, CE-OS intelligence engine, FUSE integration layer, and related services (collectively, the "Services"), you agree to be bound by these Terms & Conditions. If you do not agree to these terms, please do not use the Services.

Use License

We grant you a limited, non-exclusive, non-transferable license to access and use the Services for your business purposes, subject to these Terms & Conditions. You may not:

• Reproduce, distribute, or transmit any content without permission
• Attempt to gain unauthorized access to our systems
• Use the Services for any unlawful or fraudulent purpose
• Reverse engineer, decompile, or disassemble any part of the Services

User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information during registration and to keep this information updated.

Intellectual Property

All content, features, and functionality of the Services (including but not limited to CE-OS, FUSE, and Frontbell) are the exclusive property of Vaxio Inc. and are protected by copyright and other intellectual property laws. Your use of the Services does not grant you any ownership rights to the intellectual property.

Customer Data & Conversation Information

You retain all rights to your data, including customer information, conversation records, job details, and business information synced through FUSE integrations. We are a processor of your data and will handle it in accordance with our Privacy Policy and applicable laws.

Conversation data (voice transcripts, chat messages, SMS) processed through Brion is encrypted and stored securely. We use this data solely to:

• Provide and improve the Services
• Maintain conversation history for context continuity
• Analyze service quality and performance
• Comply with legal obligations

You may request deletion of conversation data at any time, subject to legal retention requirements. CE-OS operates on the data you provide and makes workflow decisions based on configured rules and business logic you set up—not autonomous business decisions.

Limitation of Liability

To the fullest extent permitted by law, Vaxio Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, even if advised of the possibility of such damages. Our total liability shall not exceed the fees you paid in the 12 months preceding the claim.

Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Services will be uninterrupted or error-free, though we strive for high availability and quality.

Payment and Billing

Payment terms vary by plan. You agree to pay all applicable fees according to the pricing plan you select. Billing is automatic and recurring. You can cancel your subscription at any time, and you will not be charged for future billing periods.

Termination

We may terminate or suspend your account and access to the Services at any time, without liability, if we reasonably believe you have violated these Terms & Conditions or applicable law. Upon termination, your right to use the Services ceases immediately.

Indemnification

You agree to indemnify, defend, and hold harmless Vaxio Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services or your violation of these Terms & Conditions.

Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
